10 Year Limited Warranty

This warranty covers Tulo-branded mattresses purchased from a Mattress Firm-authorized retailer located in the United States of America for personal consumer use only (each such mattress, a “Mattress”). This warranty does not cover any mattress that is used for any commercial purpose (such as use in a hotel or rental property), and it does not apply to any floor models.

This warranty is made only to the first person that purchases the applicable Mattress (the “Original Purchaser”). Mattress Firm has the right to require any person claiming that it is the Original Purchaser to provide Mattress Firm its original receipt as proof of purchase.

This warranty runs for 10 years following the date the Original Purchaser purchases the applicable Mattress (the “Warranty Period”). This warranty is not transferable and terminates upon sale of the applicable Mattress by the Original Purchaser.

Mattress Firm warrants to the Original Purchaser that, during the Warranty Period, the applicable Mattress:

• will be free from defects in workmanship and materials that cause the Mattress to crack or split at the seams; and
• will be free from defects caused by deterioration that results in the Mattress having an indentation of more than 1.5 inches.

A normal increase in softness of foam and lessening of the gradual recovery aspect of foam is expected. These conditions are not defects unless Mattress Firm establishes that such conditions, as manifested in the applicable Mattress, materially affects the pressure-relieving properties of the applicable Mattress

Comfort preference is not a defect.

This warranty does cover any defects caused by any of the following and the occurrence of any of the following voids all warranties related to the applicable Mattress:

• Damage that is caused intentionally, as a result of an accident, or by the neglect of any person or entity other than Mattress Firm.
• Burns, cuts, water damage, mold, stains, misuse or abuse.
• Use of a heating pad or electric blanket within one foot of the applicable Mattress.
• Replacement or modification of the applicable Mattress (or any part thereof) by any person or entity other than Mattress Firm.
• Failure to use proper bed frame, platform, or base, or to maintain a proper foundation to provide appropriate support for the applicable Mattress; use of Mattress with improper foundation, platform, or base.
• Removal of the Law Tag, which may have the model, serial numbers and other product information that are needed to establish a claim.

The Original Purchaser should contact Mattress Firm at support@tulo.com prior to using the applicable Mattress to determine if the bed frame and foundation the Original Purchaser intends to use with the applicable Mattress is proper.

If an Original Purchaser establishes that the applicable Mattress has a defect covered by this warranty (the “Defective Mattress”), Mattress Firm will replace the Defective Mattress or will refund a pro-rata amount of the price paid by the Original Purchaser for the Defective Mattress. If Mattress Firm replaces the Defective Mattress, Mattress Firm will replace the Defective Mattress with another mattress that is the same model, of if that model is not available, another comparable model, as determined by Mattress Firm in its sole discretion. The warranty term for any replacement mattress (a “Replacement Mattress”) begins on the date the Original Purchaser purchased the Defective Mattress. Upon Mattress Firm’s request, the Original Purchaser shall ship the Defective Mattress to Mattress Firm.

Whether to replace the Defective Mattress or to refund the price paid by the Original Purchaser for the Defective Mattress will be at Mattress Firm’s sole discretion except that if the Original Purchaser establishes that the Replacement Mattress has a defect covered by this warranty, Mattress Firm will refund a pro-rata amount of the price paid by the Original Purchaser for the Defective Mattress (and will not replace the replacement unless otherwise agreed by the Original Purchaser and Mattress Firm). For the purposes of determining any refund amount, the pro-rata amount will be determined by dividing the number of days remaining in the Warranty Period on the date the Original Purchaser makes a claim by the number of days in the Warranty Period.

The Original Purchaser shall pay all shipping costs incurred in connection with a warranty claim.

The remedies described in this section are the sole and exclusive remedies for any breach of any warranty related to, or any defect in, any Tulo-branded mattress.

To make a claim under this warranty, the Original Purchaser must contact Mattress Firm at support@tulo.com and provide Mattress Firm all documentation requested by Mattress Firm related to the applicable Mattress and the claimed defect.

EXCEPT FOR THE EXPRESS WARRANTIES IN THIS LIMITED WARRANTY, ALL TULO-BRANDED MATTRESSES ARE PROVIDED “AS-IS” AND “WHERE-IS”, AND NONE OF MATTRESS FIRM NOR ANY OF ITS SUPPLIERS OR CUSTOMERS NOR ANY AFFILIATES OF ANY OF THEM (COLLECTIVELY, THE “MATTRESS FIRM GROUP”), MAKES ANY WARRANTY OR REPRESENTATIONS, EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, REGARDING ANY TULO-BRANDED MATTRESSES, INLUDING WITH RESPECT TO THEIR MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR OTHERWISE.

IN NO EVENT SHALL ANY MEMBER OF THE MATTRESS FIRM GROUP BE LIABILE FOR: (A) THE COSTS OF PROCUREMENT, TRANSPORTATION, OR INSTALLATION OF ANY REPLACEMENT OR SUBSTITUTE GOODS OR SERVICES; (B) ANY INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES; OR (C) ANY DAMAGES FOR LOSS OF USE OR LOSS OF PROFIT. THE AGGREGATE LIABILITY OF ALL MEMBERS OF THE MATTRESS FIRM GROUP SHALL NOT EXCEED THE PRO-RATA AMOUNT OF THE PURCHASE PRICE OF THE DEFECTIVE MATTRESS, DETERMINED AS OF THE DATE THE CLAIM IS MADE. THE LIMITIATIONS IN THIS PROVISION SHALL APPLY TO ALL CLAIMS, REGARDLESS OF CAUSE, AND INCLUDING CLAIMS THAT ARE FOR BREACH OF CONTRACT, BREACH OF WARRANTY, OR FOR ANY TORT, AND EVEN IF CAUSED BY THE NEGLIGENCE OR OTHER FAULT OF ANY MEMBER OF THE MATTRESS FIRM GROUP

SOME STATES AND OTHER JURSIDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR CERTAIN TYPES OF DAMAGES. ACCORDINGLY, THE ABOVE DISCLAIMERS AND LIMITATIONS SHALL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW, AND THE ABOVE DISCLAIMERS AND LIMITATIONS SHALL APPLY ONLY TO THE MAXIMUM EXTENT PERMISSIBLE UNDER APPLICABLE LAW. IF ANY OF THE ABOVE DISCLAIMERS OR LIMITATIONS ARE UNENFORCEABLE IN ANY JURSIDICTION, THEN, FOR THE PURPOSES OF THAT JURSIDICTION ONLY, THE UNENFORCEABLE PORTIONS OF SUCH DISCLAIMERS AND LIMITATIONS SHALL BE REPLACED WITH PROVISIONS THAT ARE ENFORCEABLE IN THAT JURISDICTION AND THAT MOST CLOSELY APPROXIMATE THE INTENT AND ECONOMIC EFFECT OF THE UNENFORCEABLE PROVISIONS.
